Introduction
Welcome to Synfra Solutions Pvt. Ltd. ("Synfra", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Synfra platform (website, mobile app or other services) that connects companies or establishments renting equipment, vehicles, plants, or machinery ("Lessors") with those seeking to rent such items ("Lessees"). By using our platform, you agree to comply with these Terms. If you do not agree with any part of these Terms, please do not use our platform.
Synfra is a private limited company in India providing an online marketplace. Synfra is not a party to any rental or lease agreement between a Lessor and a Lessee, except for collecting any commission or fees (as described below) that are payable to Synfra. We only facilitate connections and invoicing – any rental agreement is a direct contract between the Lessor and Lessee. We are not responsible for the actual rental transaction, the quality, safety, or condition of the equipment, or any disputes arising between Lessor and Lessee.

2.1 Account Registration
You may need to register for an account to use certain features. You agree to provide accurate, complete information and keep it updated. You are responsible for maintaining account credentials and all account activity. Notify us immediately of unauthorized use.
2.2 Eligibility
You must be a legal entity or individual capable of entering into contracts under Indian law. By creating an account, you represent eligibility.
2.3 Use License
Synfra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for facilitating equipment rentals per these Terms.

Synfra reserves the right to suspend/terminate your access without notice for violations or at our discretion. Upon termination, cease all Platform use. Survival clauses (e.g., payments, disputes) remain effective.
3. User Obligations
3.1 Accurate Information
Provide truthful, accurate, and complete information in listings (Lessors) or inquiries (Lessees), including equipment condition, specs, pricing, and rental duration.
3.2 Compliance
Comply with all applicable laws, regulations, and industry standards (e.g., licenses, permits).
3.3 Equipment Responsibility (Lessor)
Ensure listed equipment is safe, well-maintained, and legally rentable. Accurately describe condition/capacity. Responsible for damage/injury caused by equipment.
3.4 Equipment Use (Lessee)
Use equipment only as intended and per Lessor’s instructions. Return on time in the same condition (reasonable wear and tear excepted). Responsible for loss, damage, or fines.
3.5 Respectful Communication
Interact with Users respectfully and professionally. No harassment, abuse, or threats.
3.6 Fees and Payments
Pay all owed fees, charges, or payments on time. Synfra’s commission must be paid as described during booking.
3.7 Taxes and Duties
Users (not Synfra) are responsible for taxes, duties, or regulatory fees related to rental transactions.

5.1 Payment Processing
Payments are processed via third-party gateways (e.g., Paytm, Razorpay). Their terms/privacy policies apply. Synfra does not handle/store payment information.
5.2 Invoices
Synfra generates invoices for confirmed rentals (includes rental price, taxes, fees).
5.3 Commission and Fees
Synfra charges a commission per transaction. Responsibility (typically Lessor’s) and amount are indicated during booking. Commission is separate from rental price.
5.4 Refunds and Disputes
Refund/chargeback requests must comply with payment gateway policies. Synfra does not resolve payment disputes but cooperates with investigations.
5.5 Payment via External Gateways
6. Limitation of Synfra’s Role and Liability
6.1 Facilitator Only
Synfra is a marketplace facilitator only. We do not own, endorse, inspect, employ, or control equipment/Users. Rentals are direct contracts between Users.
6.2 No Warranty
No warranty/guarantee on equipment performance, safety, legality, or User content accuracy. All transactions are at Users’ risk.
6.3 Disclaimers
Platform and services are provided "as is" without warranties (express/implied), including fitness for purpose or non-infringement.
6.4 Limitation of Liability
Synfra is not liable for indirect, incidental, special, or punitive damages (e.g., lost profits). Total liability is limited to the commission received for the transaction or ₹100 (whichever is less).
6.5 Indirect Losses
Synfra is not responsible for loss/injury/damage during equipment use. Users must conduct risk assessments. Disputes about equipment are between Lessor/Lessee.
7. Dispute Resolution
7.1 Between Users
Rental disputes (e.g., equipment condition) must be resolved directly between Lessor and Lessee.
7.2 Mediation
Unresolved disputes require mediation by a neutral third party in New Delhi (or agreed location). Mediator fees shared equally.
7.3 Further Legal Action
If mediation fails, parties may pursue legal action governed by Indian law in New Delhi courts.
7.4 Involving Synfra
Disputes with Synfra (e.g., commission) require mediation first. If unresolved, settled under Indian law in New Delhi courts.
8. Termination of Service
8.1 User Termination
You may stop using the Platform or close your account anytime via settings or Synfra support.
8.2 Synfra Termination
We may terminate/suspend your access anytime (with/without notice) for violations or other reasons.
8.3 Effect of Termination
Obligations incurred pre-termination survive (e.g., payments). Survival clauses (e.g., liability, disputes) remain effective.

Synfra may revise these Terms periodically. We will update the document date. Your continued use after changes constitutes acceptance. If changes are unacceptable, stop using the Platform.

These Terms are governed by Indian law. Disputes are subject to the exclusive jurisdiction of New Delhi courts. Users submit to these courts’ personal jurisdiction.
